These Terms govern your access to the yudimfg.com website and any order placed with Yudi Manufacturing. By requesting a quote or placing an order you agree to these Terms.
Quotes are valid for 30 days from issue unless stated otherwise. Prices are in USD by default and exclude VAT, duties, and destination taxes unless the Incoterm is DDP. An order is binding once you have (a) approved the digital mockup and (b) paid the deposit invoice.
Because Products are produced to your specification, they cannot be resold to another customer. Once mass production has started, orders cannot be cancelled. If you need to cancel before production, you may do so and forfeit any lab-dip or sample fees already incurred.
You represent and warrant that all artwork, logos, trademarks, images, and text you provide are either (a) owned by you or (b) licensed for reproduction by us. You indemnify Yudi Mfg against any third-party IP claim arising from artwork you supplied. We reserve the right to refuse orders that appear to infringe someone else's trademark or IP.
Yudi Mfg retains no rights to your artwork. We keep production files for 12 months to facilitate reorders, then delete them unless you request longer retention in writing.
Custom manufacturing has natural tolerances:
Deviations within these tolerances are not defects. Deviations beyond them are covered by our reprint policy.
Lead times quoted are working days from deposit confirmation. Weather, customs, and force-majeure delays are not our responsibility, but we will keep you informed. Risk of loss transfers per your Incoterm (EXW, FOB, CIF, or DDP).
Deposit is due upon quote acceptance. Balance is due before shipment (or against BL copy for sea freight). Late payment: 1.5% per month interest on overdue amounts. Failure to pay balance within 30 days of production completion permits us to dispose of the goods and retain the deposit as liquidated damages.
See our Returns & Warranty policy. In summary: manufacturing defects and Yudi errors are made right free of charge; customer design changes and specification mistakes are the customer's responsibility.
Our aggregate liability for any order is limited to the invoice value of that order. We are not liable for indirect, incidental, or consequential damages (lost profits, event cancellation, opportunity cost, reputational damage) except where prohibited by applicable law.
Our standard products comply with OEKO-TEX Standard 100, REACH (EU), CPSIA (US), and Prop 65 (California). If your project requires additional certification (medical, food-contact, aerospace) tell us at quote stage — additional costs may apply.
You agree not to re-export our Products in violation of any applicable sanctions or export-control laws (US OFAC, EU sanctions, UN embargoes).
These Terms are governed by the laws of the People's Republic of China without regard to conflict-of-law rules. The China International Economic and Trade Arbitration Commission (CIETAC) in Shenzhen shall have exclusive jurisdiction over disputes, in English, following CIETAC rules. Consumer-protection rights available in your jurisdiction are unaffected.
Neither party is liable for delay or non-performance caused by events beyond reasonable control — including but not limited to natural disasters, epidemics, government action, port closures, or war. We will use commercially reasonable efforts to mitigate.
We may revise these Terms from time to time. The version in effect on the date of your order applies to that order. Continued use of the site after posted changes constitutes acceptance for future orders.
